1. Introduction

These Terms & Conditions govern the use of services provided by VM Construct Ltd (“we”, “our”, “us”), a private limited company incorporated in England and Wales.

By engaging our services, you (“the Client”) agree to be bound by these Terms & Conditions.


2. Scope of Services

VM Construct provides construction services including, but not limited to:

  • Residential construction and new builds
  • Extensions and conversions
  • Renovations and refurbishments
  • Commercial construction and fit-outs
  • Project management services

All services will be outlined in a written quotation, proposal, or contract agreed prior to commencement.


3. Quotations & Estimates

  • All quotations are valid for a period of 30 days unless otherwise stated.
  • Quotations are based on the information provided at the time and may be subject to change if project details are altered.
  • Any additional work not included in the original quotation will be treated as a variation and may incur additional costs.

4. Contracts & Acceptance

  • A project will only commence once the Client has formally accepted the quotation in writing.
  • Acceptance of a quotation forms a binding agreement between VM Construct and the Client.
  • We reserve the right to refuse any project at our discretion.

5. Payment Terms

  • Payment terms will be specified within the quotation or contract.
  • Typically, payments may be structured in staged instalments based on project milestones.
  • Invoices must be paid within the agreed timeframe stated on the invoice.
  • Late payments may result in:
    • Suspension of work
    • Additional charges or interest where applicable

6. Variations & Additional Work

  • Any changes requested by the Client after work has commenced must be agreed in writing.
  • Variations may affect project cost and completion timelines.
  • VM Construct reserves the right to decline variation requests that are not feasible or safe.

7. Project Timelines

  • Estimated timelines will be provided prior to commencement.
  • While we make every effort to meet deadlines, delays may occur due to:
    • Weather conditions
    • Supply chain disruptions
    • Unforeseen structural or site issues
    • Client-requested changes

We are not liable for delays caused by factors outside our control.


8. Client Responsibilities

The Client agrees to:

  • Provide accurate project information
  • Ensure access to the site during working hours
  • Obtain any necessary permissions unless otherwise agreed
  • Make payments in accordance with agreed terms

Failure to meet these responsibilities may result in delays or additional costs.


9. Permissions & Regulations

  • Where agreed, VM Construct may assist with planning permissions and building regulations.
  • Unless explicitly stated, the Client is responsible for obtaining:
    • Planning permission
    • Building control approvals
    • Any third-party consents

All work will be carried out in accordance with relevant UK building regulations.


10. Health & Safety

  • We are committed to maintaining a safe working environment at all times.
  • Clients must ensure that the site is safe and accessible.
  • Any hazards or risks must be communicated prior to commencement.

11. Materials & Workmanship

  • All materials used will be of appropriate quality and fit for purpose.
  • Where specific materials are requested by the Client, availability and cost may vary.
  • We aim to deliver high standards of workmanship across all projects.

12. Warranty & Defects

  • We will address any defects in workmanship reported within a reasonable period after completion.
  • This does not cover:
    • Normal wear and tear
    • Damage caused by misuse or third parties
    • Issues arising from materials supplied by the Client

13. Liability

  • VM Construct will not be liable for:
    • Indirect or consequential losses
    • Delays caused by external factors
    • Pre-existing structural issues not identified prior to work

Our liability is limited to the value of the contract unless otherwise required by law.


14. Insurance

We maintain appropriate insurance coverage, including public liability insurance, in accordance with UK industry standards.

15. Termination

Either party may terminate the agreement:

  • By mutual agreement
  • If there is a breach of these Terms & Conditions
  • If payments are not made as agreed

In the event of termination:

  • The Client will be liable for all work completed up to the termination date
  • Any outstanding payments must be settled immediately

16. Force Majeure

We shall not be held liable for failure to perform obligations due to events beyond our control, including but not limited to:

  • Natural disasters
  • Extreme weather
  • Government restrictions
  • Labour or material shortages

17. Intellectual Property

Any designs, drawings, or documents provided by VM Construct remain our intellectual property unless otherwise agreed in writing.


18. Complaints

We aim to provide a high standard of service. If you have a complaint, please contact us in writing, and we will aim to resolve the issue promptly and fairly.


19. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

Any disputes shall be subject to the jurisdiction of the courts of England and Wales.


20. Updates to Terms

VM Construct reserves the right to update or amend these Terms & Conditions at any time. Updated versions will be made available upon request or via our website.
